CERTIFICATE RE NON-BANK STATUS
Reference is hereby made to the Loan Agreement [Spare Parts], dated as of , 2008, among US Airways, Inc., General Electric Capital
Corporation, as Administrative Agent, General Electric Capital Corporation, as Collateral Agent, General Electric Capital Corporation, as Original Lender,
and the Lenders from time to time party thereto (as amended or modified from time to time, the "Loan Agreement"). Pursuant to the provisions of
Section 5.3(c) of the Loan Agreement, the undersigned hereby certifies that (i) it is not a "bank" as such term is used in Section 881(c)(3)(A) of the Internal
Revenue Code of 1986, as amended (the "Code"), (ii) it is not a controlled foreign corporation (within the meaning of Section 957(a) of the Code) related
(within the meaning of Section 864(d)(4) of the Code) to the Borrower, and (iii) it is not a **(within the meaning of Section 871(h)(3)(B) of the Code) of the
Borrower.
