ARTICLE VII
EVENTS OF DEFAULT
Section 7.1. Events of Default. Each of the following events shall constitute an "Event of Default," whether any such event shall be voluntary or involuntary
or come about or be effected by operation of law or pursuant to or in compliance with any judgment, decree or order of any court or any order, rule or
regulation of any administrative or governmental body:
(a) The Borrower shall fail to**; or
(b) The Borrower shall fail **any Transaction Agent or any Lender (through the Administrative Agent); or
(c) Any representation or warranty made by the Borrower herein or pursuant to Section 6.2(a)(vii) or any other Transaction Document or any
amendment or modification hereof or thereof or waiver hereunder or thereunder, or in any report, certificate or other document (other than financial
statements and other documents, including exhibits, filed with the SEC) prepared by the Borrower and furnished pursuant to or in connection with this
Agreement or any other Transaction Document or any amendment or modification hereof or thereof or waiver hereunder or thereunder shall prove to have
been incorrect in any material respect when made, such incorrect representation or warranty is material at the time in question, and, if curable, the same
**(or in the case of any representation or warranty made in Section 3.1(g) hereof with respect to a Potential Default, **) after the date of written notice
thereof from any Transaction Agent or any Lender (through the Collateral Agent); or
(d) The Borrower shall fail to perform or observe any term, covenant or agreement contained in this Agreement or any other Transaction Document on
its part to be performed or observed and such failure shall remain unremedied for a period of **after written notice of such failure shall have been given to
the Borrower by any Transaction Agent or any Lender (through the Collateral Agent), unless such failure is capable of being corrected and the Borrower
shall be diligently proceeding to correct such failure, in which case there shall be no Event of Default unless and until such failure shall continue
unremedied for a period of **after receipt of such notice; or
(e) The Borrower shall consent to the appointment of or the taking of possession by a receiver, trustee or liquidator of itself or of substantially all of its
property, or the Borrower shall admit in writing its inability to pay its debts generally as they come due, or does not pay its debts generally as they become
due or shall make a general assignment for the benefit of creditors, or the Borrower shall file a voluntary petition in bankruptcy or a voluntary petition or
an answer seeking reorganization, liquidation or other relief in a case under any bankruptcy laws or other insolvency laws (as in effect at such time), or the
Borrower shall seek relief by voluntary petition, answer or consent, under the provisions of any other bankruptcy or other similar law providing for the
reorganization or winding-up of corporations (as in effect at such time) or the Borrower's board of directors shall adopt a resolution authorizing any of the
foregoing; or
