8.11 TIME PERIODS.
In applying any provision of these Bylaws which requires that an act be done or not be done a specified
number of days prior to an event or that an act be done during a period of a specified number of days prior to an
event, calendar days shall be used, the day of the doing of the act shall be excluded, and the date of the event
shall be included.
ARTICLE IX
NOTICE BY ELECTRONIC TRANSMISSION
9.1 NOTICE BY ELECTRONIC TRANSMISSION.
Without limiting the manner by which notice otherwise may be given effectively to stockholders pursuant to
the DGCL, the Certificate of Incorporation or these Bylaws, any notice shall be effective if given by a form of
electronic transmission in the manner provided in Section 232 of the DGCL.
ARTICLE X
AMENDMENTS
10.1 POWER OF STOCKHOLDERS.
New Bylaws may be adopted or these Bylaws may be amended or repealed by the affirmative vote of the
holders of at least a majority of voting power entitled to vote generally in the election of directors, except as
otherwise provided by law or by the Certificate of Incorporation.
10.2 POWER OF DIRECTORS.
Subject to the right of stockholders as provided in Section 10.1 to adopt, amend or repeal Bylaws, any
Bylaw may be adopted, amended or repealed by the Board of Directors. A Bylaw amendment adopted by
stockholders which specifies the votes that shall be necessary for the election of directors shall not be further
amended or repealed by the Board of Directors.
