Having taken the nature of these tasks that were assigned to Deloitte & Touche S.p.A. and the companies of the
Group into consideration and the respective remuneration, there are no aspects that give the Board of Auditors
reason to doubt the independence of Deloitte & Touche S.p.A.;
during the year the Board of Statutory Auditors met ten times, the Board of Directors met five times and the Internal q)
Control Committee met nine times.
Finally, we express our assent, within the limits of our responsibility, to the approval of the balance sheet together with the
Management Report for 2010 as presented by the Board of Directors, and to the consequent proposal put forward by the
Board for the appropriation of the net profit of Euro 294.3 million.
