2014Long-TermIncentiveandCashBonusPlanandanAgreemententeredinto
betweentheregisteredownerandTheKrogerCo.Releasefromsuchtermsand
conditionswillbemadeonlyinaccordancewiththeprovisionsofthePlanand
theAgreement,acopyofeachofwhichisonfileintheofficeoftheSecretaryof

(e) theapplicableperiodorperiodsofanyterms,conditionsorrestrictionsapplicableto
theRestrictedStock,provided,however,thattheCommitteeinitsdiscretionmayacceleratetheexpirationof
theapplicablerestrictionperiodwithrespecttoanypartoralloftheSharesawardedtoaGrantee;and
(f) thetermsandconditionsuponwhichanyrestrictionsuponSharesofRestrictedStock
awardedunder thePlanwilllapseandnew certificatesfreeof theforegoinglegend willbeissuedtothe
Granteeorhisorherlegalrepresentative.
11.4 TheCommitteemayincludeinanAgreementarequirementthatintheeventofaGrantee’s
terminationof employmentforanyreasonpriortothe lapseofrestrictions,allSharesofRestricted Stock
will be forfeited by the Grantee to the Company without payment of any consideration by the Company,
and neithertheGranteenorany successors,heirs,assigns or personalrepresentatives ofthe Grantee will
thereafterhaveanyfurtherrightsorinterestintheSharesorcertificates.
11.5 ThemaximumnumberofSharesofRestrictedStockthatmaybeawardedtoanyEmployeeor
DirectorunderthisPlanduringitstermis3,750,000Shares.
12. Incentive Share Awards
12.1 TheCommitteeisherebyauthorizedtoawardIncentiveSharestoEmployeesandDirectors.
12.2 IncentiveShareswillbeSharesthatareissuedatsuchtimes,subjecttoachievementofsuch
Performance Goals or other goals, or without condition, and on such other terms and conditions as the
Committee deems appropriate and specify in the Agreement relating thereto.
12.3 ThemaximumnumberofSharesofIncentiveSharesthatmaybeawardedtoanyEmployeeor
DirectorunderthisPlanduringitstermis3,750,000Shares.
13. Capital Adjustments
The number and class of Shares subject to each outstanding Option, Right or Performance Unit or
RestrictedStockorIncentiveShareaward,theOptionPriceandtheaggregatenumberandclassofSharesfor
whichgrantsorawardsthereaftermaybemadewillbesubjecttosuchadjustment,ifany,astheCommitteein
itssolediscretiondeemsappropriatetoreflectsucheventsasstockdividends,stocksplits,adoptionofstock
rightsplans,recapitalizations,mergers,consolidationsorreorganizationsoforbytheCompany.
14. Termination or Amendment
TheBoardmayamendorterminatethisPlaninanyrespectatanytime.Boardapprovalmust
be accompanied by (i) shareholder approval in those cases in which amendment requires shareholder
approvalunderapplicablelaworregulationsortherequirementsoftheprincipalexchangeorinterdealer
quotationsystemonwhichtheSharesarelistedorquoted,and(ii)affectedOptioneeorGranteeapproval
if the amendment or termination would adversely affect the holder’s rights under any outstanding grants or
awards.TheCashBonusProgrammaybewhollyorpartiallyamendedorotherwisemodified,suspendedor
terminatedatanytimeorfromtimetotimebytheCommitteeortheBoard.TotheextentrequiredbySection
162(m)oftheInternalRevenueCodewithrespecttobonusawardsthattheCommitteedeterminesshould
qualifyasperformance-basedcompensationasdescribedinSection162(m)(4)(C),noactionmaymodifythe
performancecriteriaorbonuspotentialsafterthecommencementofthemeasurementperiodwithrespect
towhichsuchbonusawardsrelate.
