Performance Units.Performanceunitsmaybegrantedinconnectionwiththegrantofanonstatutory
stock option under the Plan (“related performance unit”). In the Committee’s sole discretion, a related
performanceunitmayapplytoalloraportionofthecommonsharessubjecttotherelatedoption.Performance
unitsmayalsobegrantedindependentlyofanyoptiongrantedunderthePlan.Inconnectionwiththegrantof
performanceunits,theCommitteewillestablishPerformanceGoals(asdefinedbelow)foraspecifiedperiod.
Upontheexerciseofperformanceunits,orautomaticallyuponsatisfactionoftheperformancegoals
assetforthinanagreementfortheperformanceunits,agranteewillbeentitledtoreceivethepaymentof
suchunitsinaccordancewiththetermsoftheawardincommonshares,cash,oracombinationthereof,as
the Committee may determine. The values generally will depend upon the extent to which the performance
goalsforthespecifiedperiodhavebeensatisfied,asdeterminedbytheCommittee.Performancegoalsmay
beparticulartoagranteeorthedepartment,branch,subsidiaryorotherunitinwhichthegranteeworks,
ormaybebasedontheperformanceofKrogergenerallyandmaycoversuchperiodsasmaybespecified
by the Committee. For purposes of the Plan, “Performance Goals” means performance goals established
bytheCommitteewhichmaybebasedon (i) earningsorearningspershareofKroger,aunitofKroger,
or designated projects; (ii) total sales, identical sales, or comparable sales of Kroger, a unit of Kroger, or
designatedprojects;(iii)cashflow;(iv)cashflowfromoperations;(v)operatingprofitorincome;(vi)net
income;(vii)operatingmargin;(viii)netincomemargin;(ix)returnonnetassets;(x)economicvalueadded;
(xi)returnontotalassets;(xii)returnoncommonequity;(xiii)returnontotalorinvestedcapital;(xiv)total
shareholderreturn;(xv)revenue;(xvi)revenuegrowth;(xvii)earningsbeforeinterest,taxes,depreciation
andamortization(“EBITDA”);(xviii)EBITDAgrowth;(xix)fundsfromoperationspershareandpershare
growth; (xx) cash available for distribution; (xxi) cash available for distribution per share and per share
growth;(xxii)sharepriceperformanceonanabsolutebasisandrelativetoanindexofearningspershareor
improvementsinKroger’sattainmentofexpenselevels;(xxiii)reductioninoperatingcostsasapercentage
ofsales;(xxiv)performanceinkeycategories;(xxv)implementingorcompletionofstrategicinitiativesor
criticalprojects;and(xxvi)keycategoryperformanceasmeasuredbytheresultsofsurveysofcustomersor
associates,oranyotherobjectivegoalsestablishedbytheCommittee,andmaybeabsoluteintheirtermsor
measured against or in relationship to other companies similarly or otherwise situated. Performance units may
beexercisedonlyupontheachievementofminimumPerformanceGoalsduringtheperiodasdeterminedby
theCommittee.TheCommitteewilldeterminetheperiodduringwhichperformanceunitsareexercisable
and specifically set forth such period in any agreement granting performance units to a participant in the
Plan,provided,however,thataperformanceunitgenerallymaynotbeexerciseduntiltheexpirationofat
least six months from the date of grant. Performance units will expire no later than ten years from the date
ofgrant(orinthecaseofarelatedperformanceunit,theexpirationoftherelatedoption).Anyperformance
unitspaidintheformofcasharedeemedtobepaidincommonshares,withthenumberofsharesbeing
deemedpaidequaltotheamountofcashpaidtotheemployeedividedbythefairmarketvalueofacommon
share on the date of payment.
Restricted Stock. TheCommitteemayawardrestrictedstocktoparticipants.Thestockwillbesubjectto
forfeiture,restrictionsontransferability,andotherrestrictionsasspecifiedintheagreement.TheCommittee
hasauthoritytoimposeothertermsandconditionsasitmaydetermineinitsdiscretionincludingmakingthe
vestingofawardscontingentontheachievementofPerformanceGoals.Duringtheperiodthatarestricted
stockawardissubjecttorestrictions,anemployeehastherighttovotethesharesandreceivedividends.
Incentive Shares. The Committee may grant incentive shares to participants. Incentive share awards will
consistofcommonsharesissuedortobeissuedatsuchtimes,subjecttoachievementofsuchPerformance
Goalsorothergoals,orwithoutcondition,andonsuchothertermsandconditionsastheCommitteedeems
appropriate and specifies in an agreement relating thereto.
Cash Bonuses.TwotypesofbonusescanbeawardedundertheCashBonusProgram;anannualbonus
award for each fiscal year, and a long-term bonus award for measurement periods in excess of one year.
BonuspaymentsarebasedonKroger’sperformancemeasuredagainstPerformanceGoalsestablishedbythe
Committee.TheCommitteeestablishes abonus“potential”foreach bonus payable undertheCash Bonus
Programforeachparticipant,basedontheparticipant’slevelwithinKroger,andactualpayoutscanexceedthat
amountwhenKroger’sperformanceexceedsthepre-establishedthresholds.InitiallythePerformanceGoals
forannualbonuseswillincludethefollowingcomponents:(i)EBITDA;(ii)identicalsales;(iii)achievement
