York law to all issues that an Ontario Court characterized as substantive under the conflict of laws' rules of Ontario law.
6. Any judgment (a "New York Judgment") obtained by a Lender against a Borrower in any action taken in the courts of the State of New York
(the "New York Court") to enforce a payment obligation of such Borrower under the Credit Agreement or the Notes would be recognized and
enforced by an Ontario Court in a separate Ontario action without re-examination of the merits of the New York Judgment.
7. The express submission by each Borrower to the nonexclusive jurisdiction of a New York Court contained in Section 9.11 of the Credit
Agreement would be regarded by an Ontario Court as sufficient under Ontario law to grant personal jurisdiction over such Borrower to a New York
Court.
