"Unused Commitment" means, with respect to any Lender at any time, (a) such Lender's Commitment at such time minus (b) the aggregate
principal of all Advances (including the aggregate Face Amount of all BA Advances owing to such Lender and outstanding at such time), determined
for Advances or Bankers' Acceptances denominated in Canadian Dollars by reference to the Equivalent thereof in US Dollars.
"US Dollars" and the "US$" sign each mean lawful money of the United States of America.
"Voting Stock" means capital stock issued by a corporation, or equivalent interests in any other Person, the holders of which are ordinarily, in
the absence of contingencies, entitled to vote for the election of directors (or persons performing similar functions) of such Person, even if the right so
to vote has been suspended by the happening of such a contingency.
"Withdrawal Liability" has the meaning specified in Part I of Subtitle E of Title IV of ERISA.
SECTION 1.02. Computation of Time Periods. In this Agreement in the computation of periods of time from a specified date to a later specified
date, the word "from" means "from and including" and the words "to" and "until" each mean "to but excluding".
SECTION 1.03. Accounting Terms. All accounting terms not specifically defined herein shall be construed, and all financial computations and
determinations pursuant hereto shall be made, in accordance with generally accepted accounting principles consistent with those applied in the preparation of
the financial statements referred to in Section 4.01(e) ("GAAP"); provided, however, that, if any changes in accounting principles from those used in the
preparation of such financial statements have been required by the rules, regulations, pronouncements or opinions of the Financial Accounting Standards
Board or the American Institute of Certified Public Accountants (or successors thereto or agencies with similar functions) and have been adopted by the
Company with the agreement of its independent certified public accountants, the Lenders agree to consider a request by the Company to amend this
Agreement to take account of such changes.
ARTICLE II
AMOUNTS AND TERMS OF THE ADVANCES
SECTION 2.01. The Advances. (a) Advances. Each Lender severally agrees, on the terms and conditions hereinafter set forth, to make Advances
in either US Dollars or Canadian Dollars to any Borrower from time to time on any Business Day during the period from the Effective Date until the
Termination Date in an amount for each such Advance (based in respect of any Advance denominated in US Dollars on the Equivalent in Canadian Dollars
determined on the date of delivery of the applicable Notice of Borrowing), not to exceed such Lender's Unused Commitment. Each Borrowing shall be in an
aggregate amount not less than the Borrowing Minimum or the Borrowing Multiple in excess thereof and shall consist of Advances of the same Type made on
the same day by the Lenders ratably according to their respective Commitments. Within the limits of each Lender's Commitment, any Borrower may
