8. COMPANY SECRETARIES
8.1 The Directors have separate and independent access to the Company Secretaries. The role of Company Secretary has
been defined by the Board to include supervising, monitoring and advising on the compliance by the Company with
its Memorandum and Articles of Association, laws and regulations, and the SGX-ST Listing Manual; communicating
with the SGX-ST, the Registry of Companies and Businesses, and Shareholders on behalf of the Company; and performing
such other duties of a company secretary, as required under laws and regulations or as specified in the SGX-ST Listing
Manual, or the Companys Articles of Association, or as required by the Chairman of the Board or the Chairman of any
Board Committee or the Directors (or any of them), as the case may be.
9. REMUNERATION REPORT
9.1 The Directors’ remuneration for 2002-03 includes directors’ fees and allowances of $570,834 ($648,960 in 2001-02,
before accounting for a 15 per cent waiver taken by the Directors) and is derived using the following:
All the Directors have agreed to waive 50 per cent of their fees in respect of 2002-03 (2001-02: 15 per cent). Four
Directors, namely Koh Boon Hwee (in respect of all the Board Committees he sits on), Cheong Choong Kong, Chew
Choon Seng and Lim Boon Heng have further agreed to waive their fees entirely. The total Directors’ fees payable will
amount to $206,167 (2001-02: $462,579).
