(A) In November 2003, Honeywell announced its intention to repurchase sufficient outstanding shares of its common stock to offset
the dilutive impact of employee stock based compensation plans, including future option exercises, restricted unit vesting and
matching contributions under our savings plans. We estimate the issuance of approximately 10 million shares annually under such
plans. Total repurchases may vary depending on market conditions and the level of other investing activities. In response to
market conditions, in the fourth quarter of 2004, we repurchased shares to offset the anticipated 2005 dilutive impact of employee
stock based compensation plans, bringing the total number of shares repurchased in 2004 to 20,072,650. Accordingly, we do not
anticipate the need for additional share repurchases in 2005 under this program.
