Item 3. Legal Proceedings
In the ordinary course of the Company’s business, the Company is, from time to time, subject to various
legal proceedings, including matters involving wage and hour employee class actions and consumer class actions.
The Company may enter into discussions regarding settlement of these and other types of lawsuits, and may enter
into settlement agreements, if we believe settlement is in the best interest of the Company’s stockholders.
Management does not believe that any such existing legal proceedings or settlements, individually or in the
aggregate, will have a material adverse effect on the Company’s financial condition, results of operations or
liquidity.

Stock, par value $.001 per share.
Dividends
Prior to February 2012, the Company had never declared or paid any dividends on its common stock.
During fiscal 2012, the Company paid quarterly dividends of $0.15 per share of Class A Common Stock during
the first and second fiscal quarters and $0.25 per share of Class A Common Stock during the third and fourth
fiscal quarters. On February 18, 2013, the Company declared a quarterly dividend of $0.275 per share of Class A
Common Stock, paid on March 19, 2013 to stockholders of record on March 5, 2013. Our payment of dividends
