Employees
As of September 26, 2008, we employed approximately 113,000 people worldwide, of which
approximately 42,000 are employed in the United States and 71,000 are outside the United States. We
have collective bargaining agreements with labor unions covering approximately 19,000 employees and
believe that our relations with the labor unions are generally good.

The risks described below are not the only ones facing us. Our business is also subject to the risks that
affect many other companies, such as competition, technological obsolescence, labor relations, general
economic conditions, geopolitical events, climate change and international operations. Additional risks not
currently known to us or that we currently believe are immaterial also may impair our business operations
and our liquidity.
Risks Relating to Our Businesses
General economic and cyclical industry conditions may adversely affect our financial condition, results of
operations or cash flows.
Our operating results can be adversely affected by general economic conditions and the cyclical
pattern of certain industries in which we operate. For example, demand for our services and products is
significantly affected by the level of commercial construction, the amount of discretionary consumer
and business spending, and the performance of the housing market, each of which historically has
displayed significant cyclicality. Recent economic weakness has begun to affect our businesses. In
particular, weakness in the non-residential construction market as well as deteriorating economic
conditions in some of our geographic markets has begun to impact our ADT Worldwide business.
Continued weakness in the U.S. or global economies, or in the industries in which we operate, could
have a materially negative impact on our financial condition, results of operations or cash flows.
