On October 19, 2010 (the “Acquisition Date”), we were acquired by 3G in a transaction accounted for as a business combination (the “3G
Acquisition”). Unless the context otherwise requires, all references to “we”, “us”, “our” and “Successor” refer to the Company and its subsidiaries,
collectively, for all periods subsequent to the 3G Acquisition. All references in this section to our “Predecessor” refer to Burger King Holdings, Inc.
(“Holdings”) and its subsidiaries for all periods prior to the 3G Acquisition, which operated under a different ownership and capital structure. In
addition, the 3G Acquisition was accounted for under the acquisition method of accounting, which resulted in purchase price allocations that affect the
comparability of results of operations for periods before and after the 3G Acquisition.
The following tables present our selected historical consolidated financial and other data for us and our Predecessor as of the dates and for each of the
periods indicated. All references to 2013, 2012 and 2011 in this section are to the years ended December 31, 2013, December 31, 2012 and December 31,
2011, respectively. The selected historical financial data as of December 31, 2013 and December 31, 2012 and for 2013, 2012 and 2011 have been derived
from our audited consolidated financial statements and notes thereto included in this report. The selected historical financial data as of December 31, 2010 and
for the period from October 19, 2010 to December 31, 2010 have been derived from our audited consolidated financial statements and notes thereto, which are
not included in this report. All references to Fiscal 2010 and 2009 refer to the Predecessor’s fiscal years ended June 30, 2010 and June 30, 2009. The selected
historical financial data as of June 30, 2010 and June 30, 2009 and for the period July 1, 2010 to October 18, 2010 and for Fiscal 2010 and 2009 have been
derived from the audited consolidated financial statements and the notes thereto of our Predecessor, which are not included in this report.
The selected consolidated financial and other operating data presented below contain all normal recurring adjustments that, in the opinion of
management, are necessary to present fairly our financial position and results of operations as of and for the periods presented. The selected historical
consolidated financial and other operating data included below and elsewhere in this report are not necessarily indicative of future results. The information
presented below should be read in conjunction with “Management’s Discussion and Analysis of Financial Condition and Results of Operations” in
Part II, Item 7 and “Financial Statements and Supplementary Data ” in Part II, Item 8 of this report.
