legislatures, regulatory authorities and consumer protection groups.
Card Association and Payment Network Operating Rules
In providing certain of our services to our issuing banks, we are required to comply with the operating rules promulgated by various card
associations and network organizations, including certain data security standards, with such obligations arising either under our agreements
with each issuing bank or as a condition to access or otherwise participate in the relevant card association or network organization. Each card
association and network organization audits us from time to time to ensure our compliance with these standards, and our failure to comply
could subject us to a variety of fines or penalties, including the termination of our ability to process transactions routed through these networks.
We continue to work with our issuing banks to implement and maintain appropriate policies and programs as well as adapt our business
practices in order to comply with all applicable rules and standards.
Other Laws and Regulations
As we develop new services and new products, we may become subject to additional federal and state regulations. These additional
regulations could substantially restrict the nature of the business in which we may engage and the nature of the businesses in which we may
invest. In addition, changes in current laws or regulations and future laws or regulations may restrict our ability to continue our current methods
or operations or expand our operations and may have a material adverse effect on our business, results of operations and financial condition.
Employees
As of December 31, 2010, we had 507 employees. We are not subject to any collective bargaining agreement and have never been subject
to a work stoppage. We believe that we have maintained good relationships with our employees.
