Item 9A. Controls and Procedures.
We maintain a comprehensive set of disclosure controls and procedures (as defined in Rules 13a-15(e) and 15d-15(e) under the
Securities Exchange Act of 1934) designed to ensure that information required to be disclosed in our filings under the
Exchange Act is recorded, processed, summarized and reported accurately and within the time periods specified in the SEC's
rules and forms, and that such information is accumulated and communicated to Energizer's management, including its Chief
Executive Officer and Chief Financial Officer, as appropriate, to allow timely decisions regarding required disclosures. As of
September 30, 2015, an evaluation was carried out under the supervision and with the participation of our management,
including our Chief Executive Officer and Chief Financial Officer, of the effectiveness of the design and operation of our
disclosure controls and procedures. Based on that evaluation, the Chief Executive Officer and Chief Financial Officer
concluded that, as of September 30, 2015, the design and operation of these disclosure controls and procedures were effective
to provide reasonable assurance of the achievement of the objectives described above. They have also determined in their
evaluation that there was no change in the Company's internal control over financial reporting during the quarter ended
September 30, 2015 that has materially affected or is reasonably likely to materially affect the Company's internal control over
financial reporting.
This annual report does not include a report of management's assessment regarding internal control over financial reporting or
an attestation report of the Company's independent registered public accounting firm due to a transition period established by
rules of the Securities and Exchange Commission for newly public companies.
