ITEMS OF BUSINESS: 1) To elect as directors the 9 nominees listed in the proxy statement
2) To approve an amendment to Dollar General Corporation’s
Amended and Restated Charter to implement a majority voting
standard in uncontested elections of directors
3) To ratify the appointment of the independent registered public
accounting firm for fiscal 2013
4) To transact any other business that may properly come before the
annual meeting and any adjournments of that meeting
