an excessive price. Plaintiffs allege breach of fiduciary duty, aiding and abetting breach of fiduciary duty, waste
of corporate assets and unjust enrichment. Plaintiffs seek an injunction of the Pillar Data transaction, rescission
of the Pillar Data transaction, disgorgement of our Chief Executive Officer’s alleged profits and other declaratory
and monetary relief. On January 13, 2012, plaintiffs filed an amended complaint. On February 29, 2012,
defendants filed a motion to dismiss the amended complaint; plaintiffs filed an opposition on April 27, 2012; and
defendants filed a reply on May 18, 2012. A hearing on this motion is scheduled for August 22, 2012.
While the outcome of the derivative litigations and the related action noted above cannot be predicted with
certainty, we do not believe that the outcome of any of these matters, individually or in the aggregate, will result
in losses that are materially in excess of amounts already recognized, if any.
Other Litigation
We are party to various other legal proceedings and claims, either asserted or unasserted, which arise in the
ordinary course of business, including proceedings and claims that relate to acquisitions we have completed or to
companies we have acquired or are attempting to acquire. While the outcome of these matters cannot be
predicted with certainty, we do not believe that the outcome of any of these matters, individually or in the
aggregate, will result in losses that are materially in excess of amounts already recognized, if any.
