NOTICE OF 2011 ANNUAL MEETING OF STOCKHOLDERS

STARWOOD HOTELS & RESORTS WORLDWIDE, INC.

ITEMS OF BUSINESS: 1. To elect eleven Directors to serve until the next Annual Meeting of
Stockholders (“Annual Meeting”) and until their successors are duly elected
and qualified.
2. To consider and vote upon the ratification of the appointment of
Ernst & Young LLP as Starwood Hotels & Resorts Worldwide, Inc.s (the
“Company”) independent registered public accounting firm for the fiscal year
ending December 31, 2011.
3. To have a non-binding advisory vote on approval of the compensation of the
Company’s “Named Executive Officers, as described in the Compensation
Discussion and Analysis, compensation tables and narrative discussion
included in the accompanying proxy statement.
4. To have a non-binding advisory vote on the frequency (every year, every two
years, or every three years) of future advisory votes to approve the
compensation of the Company’s Named Executive Officers.
5. To transact such other business as may properly come before the meeting or
any postponement or adjournment thereof.
RECORD DATE: Holders of record of the Company’s stock at the close of business on March 10,
2011 are entitled to vote at the meeting.
ANNUAL REPORT: The Companys 2010 Annual Report on Form 10-K (“Annual Report”), which is not
a part of the proxy soliciting material, is enclosed. The Annual Report may also be
obtained from the Company’s website at
www.starwoodhotels.com/corporate/investor _ relations.html. Stockholders may also
obtain, without charge, a copy of the Annual Report by contacting Investor Relations
at the Company’s headquarters.
PROXY VOTING: It is important that your shares be represented and voted at the meeting. You can
authorize a proxy to vote your shares by completing and returning the proxy card
sent to you. Most stockholders can authorize a proxy over the Internet or by
telephone. If Internet or telephone authorization is available to you, instructions
are printed on your proxy card. You can revoke a proxy at any time prior to its
exercise at the meeting by following the instructions in the accompanying proxy
