All obligations of the Company under the Plan and with respect to Awards will be binding on any assign or
successor to the Company, whether the existence of the successor is the result of a direct or indirect purchase, merger,
consolidation, or other event, or a sale or disposition of all or substantially all of the business and/or assets of the
Company, and references to the “Company”
in the Plan and in any Agreement will be deemed to refer to such assigns or
successors.
