13. DISCONTINUED OPERATION
During the year, the Group disposed of its entire interest in
Pegasus Qingdao and Pegasus Electronic to Haier BVI at a
consideration aggregating approximately HK$411 million. The
consideration is satisfied by way of a promissory note which
is interest bearing at 5.2% per annum issued by Haier BVI to
the Company. Haier BVI is a substantial shareholder of the
Company and a subsidiary of Haier Corp. Pegasus Qingdao
and Pegasus Electronic are principally engaged in the
manufacture and sale of mobile handsets. The above
transaction was approved by the independent shareholders
of the Company at a special general meeting held on 15 June
2006 and was completed on 27 June 2006.
The results of Pegasus Qingdao and Pegasus Electronic are
presented below:

13. 已終止經營業務
年內，本集團向海爾BVI出售其於飛馬青
島及飛馬電子之全部權益，代價合共約
為411,000,000港元。海爾BVI透過向本
公司發行按年利率5.2厘計息之承付票據
支付代價。海爾BVI為海爾集團公司一間
附屬公司及本公司之主要股東。飛馬青
島及飛馬電子主要從事製造及銷售移動
手機之業務。上述交易已於二零零六年
六月十五日舉行之股東特別大會上獲本
公司獨立股東批准，並已於二零零六年
六月二十七日完成。
