The directors present their report and the audited financial
statements of the Company and the Group for the year ended 31
December 2006.
PRINCIPAL ACTIVITIES
The principal activity of the Company is investment holding.
During the year, the Group continued to be engaged in the
manufacture and sale of washing machines. However, the Group
discontinued its business of the manufacture and sale of mobile
handsets by disposing of its entire interest in Pegasus Telecom
(Qingdao) Co., Ltd. (“Pegasus Qingdao”) and Pegasus Electronic
(Qingdao) Co., Ltd. (“Pegasus Electronic”) in June 2006, details of
which are set out in note 13 to the financial statements.
During the year, the Company acquired a 100% interest in Haier
Electrical Appliances Fourth Holdings (BVI) Limited (“Haier SPV”).
The principal activities of the subsidiaries of Haier SPV are the
manufacture and sale of washing machines and water heaters.
RESULTS AND DIVIDENDS
The Group’s profit for the year ended 31 December 2006 and the
state of affairs of the Company and the Group at that date are set
out in the financial statements on pages 47 to 147 of this report.
The directors do not recommend the payment of any dividends for
the year.
SUMMARY FINANCIAL INFORMATION
A summary of the published results and assets, liabilities and
minority interests of the Group, as extracted from the audited
financial statements and restated/reclassified as appropriate, is set
out on page 148 of this report. This summary does not form part of
the audited financial statements.
PROPERTY, PLANT AND EQUIPMENT
Details of movements in the Group’s property, plant and equipment
during the year are set out in note 17 to the financial statements.
SHARE CAPITAL, SHARE OPTIONS AND
CONVERTIBLE NOTES
Details of movements in the Company’s share capital, share options
and convertible notes during the year are set out in notes 34, 35
and 31 to the financial statements, respectively.
董事同寅現謹提呈董事會報告書及本公司及本
集團截至二零零六年十二月三十一日止年度之
經審核財務報表。
主要業務
本公司之主要業務為投資控股。
年內，本集團繼續從事製造及銷售洗衣機業
務。然而，透過出售其於飛馬通訊（青島）有限
公司（「飛馬青島」）及飛馬電子（青島）有限公司
（「飛馬電子」）之全部權益，本集團於二零零六
年六月終止其製造及銷售移動手機之業務，有
關詳情載於財務報表附註13。
年內，本公司收購海爾電器第四控股（BVI）有
限公司（「海爾SPV」）之100%權益。海爾SPV
附屬公司之主要業務為製造及銷售洗衣機及熱
水器。

之溢利以及本公司及本集團於該日之財務狀況

董事不建議派發本年度之任何股息。
