PROXY STATEMENT
The Board of Directors (the “Board of Directors” or the
“Board”) of The Western Union Company (“Western Union”
or the “Company”) is soliciting your proxy to vote at the 2016
Annual Meeting of Stockholders (the “Annual Meeting”) to
be held on May 12, 2016 at 8:00 a.m., local time, and any
adjournment or postponement of that meeting. The meeting
will be held at 505 Fifth Avenue, 7th Floor, New York, NY 10017.
In accordance with rules and regulations of the U.S.
Securities and Exchange Commission (the “SEC”), instead
of mailing a printed copy of our proxy materials to each
stockholder of record or beneficial owner, we furnish proxy
materials, which include this Proxy Statement and the
accompanying Proxy Card, Notice of Meeting, and Annual
Report to Stockholders, to our stockholders over the Internet
unless otherwise instructed by the stockholder. If you
received a Notice of Internet Availability of Proxy Materials
by mail and would like to receive a printed copy of our proxy
materials, you should follow the instructions for requesting
such materials included in the Notice of Internet Availability
of Proxy Materials.
The Notice of Internet Availability of Proxy Materials was
first mailed on or before March 30, 2016 to all stockholders
of record as of March 14, 2016 (the “Record Date”). The
only voting securities of the Company are shares of the
Company’s common stock, $0.01 par value per share (the
“Common Stock”), of which there were 495,598,092 shares
outstanding as of the Record Date. The closing price of the
Company’s Common Stock on the Record Date was $19.10
per share.
The Company’s Annual Report to Stockholders, which
contains consolidated financial statements for the year ended
December 31, 2015, accompanies this Proxy Statement. You
also may obtain a copy of the Company’s Annual Report on
