(2) On April 30, 2012, the Board of Directors approved a new share repurchase authorization for the repurchase of up to ten
million shares. This authorization replaced the prior share repurchase authorization. 1,000,000 shares were repurchased on
the open market during the fiscal year under this share repurchase authorization.
Since the end of fiscal 2014 and through the date of this report, the Company has not repurchased any shares of its common
stock, exclusive of a small number of shares related to the net settlement of certain stock awards for tax withholding purposes.
From October 1, 2013 through November 14, 2014, an additional 151,410 shares were surrendered to the Company to
satisfy tax withholding obligations in connection with the vesting of restricted stock.
The following graph compares the cumulative 5-year total return provided to shareholders on Energizer Holdings, Inc.'s
common stock relative to the cumulative total returns of the S&P Midcap 400 index and the S&P Household Products index.
An investment of $100 (with reinvestment of all dividends) is assumed to have been made in our common stock and in each of
the indexes on September 30, 2009 and its relative performance is tracked through September 30, 2014. These indices are
included only for comparative purposes as required by Securities and Exchange Commission rules and do not necessarily
reflect management's opinion that such indices are an appropriate measure of the relative performance of the Common Stock.
They are not intended to forecast possible future performance of the Common Stock.
