21 TERMINATION FOR CERTAIN EVENTS

21.1 Any of the following shall be considered a material breach of, [***] (“

Buyer in any jurisdiction relating to bankruptcy, insolvency, reorganization or relief from debtors or seeking a
reorganization, arrangement, winding-

such case, proceeding or action is not dismissed [***].

An action is commenced seeking the appointment of a receiver, trustee, custodian or other similar official for
[***] the Buyer for all or substantially all of its assets and such action is not stayed or dismissed [***] or the
Buyer makes a general assignment for the benefit of its creditors.
