This Letter Agreement and the rights and obligations of the parties shall not be assigned or transferred in any manner
without the prior written consent of the Seller and any attempted assignment or transfer in contravention of this
provision shall be void and of no force or effect.
This Letter Agreement is subject to the terms and conditions of Subclause 22.7 of the Agreement.
