benefit equal to or greater than the benefit each Participant would have received had the plan terminated immediately before the merger, consolidation
or transfer.
15.3. Rules Concerning Certain Rollovers, Mergers and Direct Transfers
The Trustee will hold, administer and distribute the transferred assets as a part of the Trust Fund and the Trustee must maintain a separate Employer
Contribution Account for the benefit of the Employee on whose behalf the Trustee accepted the transfer to reflect the value of the transferred assets.
The Plan will preserve all Code Section 411(d)(6) protected benefits with respect to those transferred assets, in the manner described in Subsection
10.2(c)(iii).
If the Plan receives a direct transfer, by merger or otherwise, of Salary Reduction Contributions, or amounts treated as Salary Reduction Contributions,
under a Plan with a Code Section 401(k) arrangement, the distribution restrictions of Code Sections 401(k)(2) and 401(k)(10) continue to apply to those
transferred Salary Reduction Contributions.
