11.10. Funding Policy
The Committee will review, not less often than annually, all pertinent Employee information and Plan data to establish the funding policy of the Plan
and to determine the appropriate methods of carrying out the Plan's objectives. The Committee must communicate periodically, as it deems
appropriate, to the Trustee and to any Plan Investment Manager the Plan's short-term and long-term financial needs so investment policy can be
coordinated with Plan financial requirements.
11.11. Indemnification
The Plan Sponsor, shall, to the extent permitted by law, indemnify and hold harmless each member of the Committee and each Employee who is a
fiduciary or a delegate of the Committee against any and all expenses and liabilities arising out of his administrative functions or fiduciary
responsibilities, including any expenses and liabilities that are caused by or result from an act or omission constituting the negligence of such
individual in the performance of such functions or responsibilities, but excluding expenses and liabilities that are caused by or result from such
individual's own gross negligence or willful misconduct. Expenses against which such individual shall be indemnified hereunder shall include,
without limitation, the amounts of any settlement or judgment, costs, counsel fees, and related charges reasonably incurred in connection with a
claim asserted or a proceeding brought or settlement thereof.
