“Non-Stayed Order” means an order of the Bankruptcy Court which is in full force and effect, as to which no stay has been entered and
which has not been reversed, modified, vacated or overturned.
“Note” has the meaning assigned to it in Section 1.1(a).
“Notice of Actionable Default” has the meaning ascribed to it in the Skymiles Intercreditor Agreement.
“Notice of Conversion/Continuation” has the meaning ascribed to it in Section 1.5(e).
“Obligations” means all loans, advances, debts, liabilities and obligations, for the performance of covenants, tasks or duties or for
payment of monetary amounts (whether or not such performance is then required or contingent, or such amounts are liquidated or determinable) owing by any
Credit Party to the Administrative Agent or any Lender, and all covenants and duties regarding such amounts, of any kind or nature, present or future, whether
or not evidenced by any note, agreement, letter of credit agreement or other instrument, arising under the Agreement or any of the other Loan Documents.
This term includes all principal, interest (including all interest that accrues after the commencement of any case or proceeding by or against any Credit Party
in bankruptcy, whether or not allowed in such case or proceeding), Fees, expenses, attorneys’ fees and any other sum chargeable to any Credit Party under the
Agreement or any of the other Loan Documents.
“Op Specs” means Operating Specifications issued by the FAA under Part 121 of the Federal Aviation Regulations authorizing an air
carrier’s operations to/from/within the United States.
“Original Borrowing Base Assets” has the meaning ascribed to it in Section 1.2(c)(i).
“Owned Real Estate” has the meaning ascribed to it in Section 3.6(b)and Section 5.12(a)(iv).
“Patent License” means rights under any written agreement now owned or hereafter acquired by any Credit Party granting any right with
respect to any invention on which a Patent is in existence.
“Patent Security Agreements” means the Patent Security Agreements made in favor of Administrative Agent for the benefit of the
Secured Parties by each applicable Credit Party.
“Patents” means all of the following in which any Credit Party now holds or hereafter acquires any interest: (a) all letters patent of the
United States or any other country, all registrations and recordings thereof, and all applications for letters patent of the United States or of any other country,
including registrations, recordings and applications in the United States Patent and Trademark Office or in any similar office or agency of the United States,
any State or any other country, and (b) all reissues, continuations, continuations-in-part or extensions thereof.
