10.5 Performance by Administrative Agent of the Credit Parties’ Obligations. If any Credit Party fails to perform or comply with
any of its agreements contained herein and the Administrative Agent, as provided for by the terms of this Agreement, shall itself perform or comply, or
otherwise cause performance or compliance, with such agreement, the expenses of the Administrative Agent incurred in connection with such performance or
compliance, together with interest thereon at the rate then in effect in respect of Term Loan C, shall be payable by such Credit Party to the Administrative
Agent on demand and shall constitute Obligations secured by the Collateral. Performance of such Credit Party’s obligations as permitted under this Section
10.5shall in no way constitute a violation of the automatic stay provided by section 362 of the Bankruptcy Code and each Credit Party hereby waives
applicability thereof. Moreover, the Administrative Agent shall in no way be responsible for the payment of any costs incurred in connection with preserving
or disposing of Collateral pursuant to section 506(c) of the Bankruptcy Code and the Collateral may not be charged for the incurrence of any such cost.
10.6 Limitation on Administrative Agent’s duty in Respect of Collateral. The Administrative Agent and each Secured Party shall
use reasonable care with respect to the Collateral in its possession or under its control. Neither the Administrative Agent nor any Secured Party shall have any
other duty as to any Collateral in its possession or control or in the possession or control of any agent or nominee of the Administrative Agent or such Secured
Party, or any income thereon or as to the preservation of rights against prior parties or any other rights pertaining thereto.
