“Cash Management Systems” has the meaning ascribed to it in Section 1.7.
“CERCLA” means the Comprehensive Environmental Response, Compensation, and Liability Act of 1980 (42 U.S.C. §§ 9601 et seq.).
“Certificated Air Carrier” shall mean an “air carrier” within the meaning of Section 40102 of Title 49, holding a certificate of public
convenience and necessity under Section 41102 of Title 49 and an air carrier certificate under Section 44705 of Title 49 and Subpart C of 14 C.F.R. Part 119
of the Federal Aviation Regulations authorizing its operations to/from/within the United States under 14 C.F.R. Part 121 of the Federal Aviation Regulations.
“Change of Control” means any of the following: (a) any person or group of persons (within the meaning of the Securities Exchange Act
of 1934) shall have acquired beneficial ownership (within the meaning of Rule 13d-3 promulgated by the Securities and Exchange Commission under the
Securities Exchange Act of 1934) of 40% or more of the issued and outstanding shares of capital Stock of Borrower having the right to vote for the election of
directors of Borrower under ordinary circumstances other than any employee benefit plan of Borrower or any of its Subsidiaries or any Person organized,
appointed or established by borrower or any of its Subsidiaries for, or pursuant to, the terms of any such employee benefit plan; or (b) during any period of
twelve consecutive calendar months, individuals who at the beginning of such period constituted the board of directors of Borrower (together with any new
directors whose election by the board of directors of Borrower or whose nomination for election by the Stockholders of Borrower was approved by a vote of
at least two-thirds of the directors then still in office who either were directors at the beginning of such period or whose election or nomination for election
was previously so approved) cease for any reason other than death or disability to constitute a majority of the directors then in office.
“Charges” means all federal, state, county, city, municipal, local, foreign or other governmental taxes (including taxes owed to the PBGC
at the time due and payable), levies, assessments, charges, liens, claims or encumbrances (including interest and penalties relating thereto) upon or relating to
(a) the Collateral, (b) the Obligations, (c) the employees, payroll, income or gross receipts of any Credit Party, (d) any Credit Party’s ownership or use of any
properties or other assets, or (e) any other aspect of any Credit Party’s business.
“Chattel Paper” means any “chattel paper,” as such term is defined in the Code, including electronic chattel paper, now owned or
hereafter acquired by any Credit Party, wherever located.
“Citibank Cash Collateral Account” means the Cash Collateral Account as defined in the Security Agreement dated as of September 1,
2004 between Borrower and Citibank, N.A. and the cash, cash equivalents and other investment property and financial assets credited thereto, and all
proceeds thereof, in an amount not to exceed $20,000,000.
“Claim” has the meaning ascribed to such term in Section 101(5) of the Bankruptcy Code.
“Closing Date” means September 16, 2005.
