3.13 No Litigation.
Other than the Cases, no unstayed action, claim, lawsuit, demand, investigation or proceeding is now pending or, to the knowledge of
any officer of such Credit Party, threatened against any Credit Party, before any Governmental Authority or before any arbitrator or panel of arbitrators
(collectively, “Litigation”) that, individually or in the aggregate, (a) challenges any Credit Party’s right or power to enter into or perform any of its obligations
under the Loan Documents to which it is a party, or the validity or enforceability of any Loan Document or any action taken thereunder or (b) could
reasonably be expected to have a Material Adverse Effect.
3.14 Intellectual Property.
Each Credit Party owns or has rights to use all Intellectual Property necessary to continue to conduct its business as now conducted by it
or presently proposed to be conducted by it, and each U.S. registered Patent, U.S. registered Trademark, U.S. registered Copyright and U.S. License in effect
on the Closing Date is listed, together with application or registration numbers, as applicable, in Disclosure Schedule 3.14. To the knowledge of any Credit
Party, each Credit Party conducts its business and affairs without infringement of or interference with any Intellectual Property of any other Person in any
material respect and no material claim or litigation regarding any of the foregoing is pending or threatened. Except as set forth in Disclosure Schedule 3.14, as
of the Closing Date, no Credit Party is aware of any infringement claim by any other Person with respect to any material Intellectual Property.
3.15 Full Disclosure.
No information contained in this Agreement, any of the other Loan Documents, Financial Statements or Collateral Reports or other
written reports from time to time prepared by any Credit Party and delivered hereunder or any written statement prepared by any Credit Party and furnished
by or on behalf of any Credit Party to the Administrative Agent or Lender pursuant to the terms of this Agreement (other than any Projections) contains or
will contain, when taken as a whole, any untrue statement of a material fact or omits or will omit to state a material fact necessary to make the statements
contained herein or therein not misleading in light of the circumstances under which they were made and as of the date when made. Projections from time to
time delivered hereunder are or will be based upon the estimates and assumptions stated therein, all of which Borrower believed at the time of delivery to be
reasonable in light of the conditions and facts known to Borrower as of such delivery date (it being understood that projections by their nature are inherently
uncertain, such Projections are not a guaranty of future performance and actual results may differ materially from those set forth in such Projections).
