Holdings' Class A common stock, par value $0.01 per share, is not publicly traded. Holdings' Class B common stock, par value $0.01 per share, has been
traded on the New York Stock Exchange under the symbol "AWA" since August 26, 1994.

As of December 31, 2004, there were two record holders of Class A common stock and approximately 2,949 record holders of Class B common stock.
Holdings has not paid cash dividends in any of the last three fiscal years and does not anticipate paying cash dividends in the foreseeable future. The terms
of the government guaranteed loan restrict the Company's ability to pay cash dividends or repurchases shares of its stock prior to repayment of the loan in full.
The following table set forth all purchases made by us or any "affiliated purchases" (as defined in Rule 10b-18(a)(3) of the Exchange Act), of Class B

the debt instruments and in the manner described above.
