On March 10, 2005, the Compensation Committee of Holdings' Board of Directors approved grants of stock options to executive officers of Holdings and
AWA as set forth in the table below. All of the options have an exercise price equal to $5.13, the fair market value of Holdings' common stock on the date of
grant, and will vest in equal thirds on each of March 10, 2006, 2007 and 2008.
