notified in writing prior to the end of the first 45-day period. The Administrator’s final written decision will set forth: (i) the specific reasons for
the decision, (ii) references to the specific Plan provisions on which the decision is based, (iii) a statement that the claimant is entitled to receive,
upon request and free of charge, access to and copies of all documents, records and other information relevant to the benefit claim, and (iv) a
statement regarding the claimant’s right to bring a civil action under Section 502(a) of ERISA following a denial on appeal. The Administrator’s
decision made in good faith will be final and binding.
11.4 Administrator’s Decision Final
Benefits under the Plan will be paid only if the Administrator decides in its sole discretion that a Participant or Beneficiary (or other
claimant) is entitled to them. Subject to applicable law, any interpretation of the provisions of the Plan and any decisions on any matter within
the discretion of the Administrator made by the Administrator or its delegate in good faith shall be binding on all persons. A misstatement or
other mistake of fact shall be corrected when it becomes known to the Administrator and the Administrator shall make such adjustment on
account thereof as it considers equitable and practicable.
