SECTION 8. FUNDING
No Participant or other person shall acquire by reason of the Plan any right in or title to any assets, funds, or property of the Employer
whatsoever, including, without limiting the generality of the foregoing, any specific funds, assets, or other property of the Employer. Benefits
under the Plan are unfunded and unsecured. A Participant shall have only an unfunded, unsecured right to the amounts, if any, payable hereunder
to that Participant. The Employer’s obligations under this Plan are not secured or funded in any manner, even if the Employer elects to establish
a trust with respect to the Plan. Even though benefits provided under the Plan are not funded, the Employer may establish a trust to assist in the
payment of benefits. All investments under this Plan are notional and do not obligate the Employer (or its delegates) to invest the assets of the
Employer or of any such trust in a similar manner.
