same manner to revoke any such delegation of responsibilities. Any action of the delegate in the exercise of such
delegated responsibilities shall have the same force and effect for all purposes hereunder as if such action had been
taken by the Committee. The Committee shall not be liable for any acts or omissions of any such delegate. The delegate
shall periodically report to Committee concerning the discharge of the delegated responsibilities.
Section 10.5. Plan Expenses . All fees and expenses incurred in connection with the operation and administration of the Plan, including,
but not limited to, Committee, legal, accounting, actuarial, investment, Trustee, management, and administrative fees and expenses may be paid
out of the Trust or any other Plan asset to the extent that it is legally permissible for these fees and expenses to be so paid. A Participating
Company may, but is not required, to pay such fees and expenses directly. A Participating Company may also advance amounts properly payable
by the Plan or Trust and then obtain reimbursement from the Plan or Trust for these advances.
Section 10.6. Information to be Supplied by a Participating Company . Each Participating Company shall provide the Committee or its
delegates with such information as they shall from time-to-time need or reasonably request in the discharge of its duties. The Committee may
rely conclusively on the information provided.
Section 10.7. Disputes .
10.7.1. If the Committee denies, in whole or in part, a claim for benefits by a Participant or his beneficiary, the
Committee shall furnish notice of the denial to the claimant, setting forth:
(a) the specific reasons for the denial;
(b) specific reference to the pertinent Plan provisions on which the denial is based;
(c) a description of any additional information necessary for the claimant to perfect the claim and an
explanation of why such information is necessary; and
(d) appropriate information as to the steps to be taken if the claimant wishes to submit his claim for review.
Such notice shall be forwarded to the claimant within 90 days of the Committee’s receipt of the claim; provided, however, that in special
circumstances the Committee may extend the response period for up to an additional 90 days, in which event it shall notify the claimant in
writing of the extension, and shall specify the reason or reasons for the extension.
10.7.2. Within 60 days of receipt of a notice of claim denial, a claimant or his duly authorized representative may
petition the Committee in writing for a full and fair review of the denial. The claimant or his duly authorized representative shall have the
opportunity to review pertinent documents and to submit issues and comments in writing to the Committee. The Committee shall review the
denial and shall communicate its decision and the reasons therefor to the claimant in writing within 60 days of receipt of the petition; provided,
