Each Option shall be evidenced by a written instrument containing such terms and conditions not inconsistent with the Plan as the
Committee may determine. The issuance of Shares on the exercise of an Option shall be subject to all of the applicable requirements of the
corporation law of the Sponsor’s state of incorporation and other applicable laws, including federal or state securities laws, and all Shares issued
under the Plan shall be subject to the terms and restrictions contained in the Articles of Incorporation and By-Laws of the Sponsor, as amended
from time to time.
