Report of the Directors
董事會報告書
The directors present their report and the audited financial
statements of the Company and the Group for the year
ended 31 December 2007.
Principal Activities
The principal activity of the Company is investment
holding. The principal activities of the subsidiaries
comprise the manufacture and sale of washing machines
and water heaters. There were no significant changes in
the nature of the Group’s principal activities during the
year.
Results and Dividends
The Group’s profit for the year ended 31 December 2007
and the state of affairs of the Company and the Group at
that date are set out in the financial statements on pages
55 to 163.
The directors do not recommend the payment of any
dividends for the year.
Summary Financial Information
A summary of the published results and assets, liabilities
and minority interests of the Group for the last five
financial years, as extracted from the audited financial
statements and restated/reclassified as appropriate, is set
out on page 164. This summary does not form part of the
audited financial statements.
Property, Plant and Equipment
Details of movements in the Group’s property, plant and
equipment during the year are set out in note 16 to the
financial statements.
Share Capital, Share Options and Convertible
Notes
Details of movements in the Company’s share capital,
share options and convertible notes during the year are
set out in notes 31, 32 and 28 to the financial statements,
respectively.

本公司之主要業務為投資控股。附屬公司之主要
業務包括製造及銷售洗衣機及熱水器。本集團主
要業務性質於年內並無重大變動。

溢利以及本公司及本集團於該日之財務狀況載於
本報告第55 至163 頁之財務報表。
董事不建議派發本年度之任何股息。
