32. Share Option Scheme (Cont’d)
Notes:
1. The vesting period of the share options is from the
date of grant until the commencement of the exercise
period.
2. The exercise price of the share options is subject to
adjustment(s) in the case of rights or bonus share
issues, or other similar changes in the share capital
of the Company.
3. The price of the Company’s shares disclosed as
at the date of grant of the share options is the
Stock Exchange closing price on the trading day
immediately prior to the date of grant of the options.
The price of the Company’s shares disclosed
immediately before the exercise date of the share
options is the weighted average of the Stock
Exchange closing prices immediately before the dates
on which the options were exercised over all of the
exercises of options within the disclosure line.
4. Mr. Chai Yong Sen resigned as an executive of the
Company with effect from 15 February 2007.
5. Mr. Lam Kin Kau, Mark, and Mr. Fung Hoi Wing,
Henry, resigned as an independent non-executive
director of the Company with effect from 21 June
2007.
The fair value of the share options granted in
prior year was HK$409,000, of which the Group
recognised a share option expense during the year
ended 31 December 2006.
33. Reserves
(a) Group
The amounts of the Group’s reserves and
the movements therein for the current and
prior years are presented in the consolidated
statement of changes in equity on page 58 of
the financial statements.
(i) Pursuant to the relevant PRC laws and
regulations, certain of the Group’s
subsidiaries registered in the PRC are
required to transfer a portion of their
profits to reserve funds. These funds
are non-distributable in the form of
cash dividends. For the purpose of
determining the appropriations to these
funds, the net profits of these subsidiaries
are determined in accordance with the
applicable financial rules and regulations
of the PRC.
32. 購股權計劃

附註：
1. 購股權之歸屬期由授出日期起至行使期開
始為止。
2. 購股權之行使價可於配售新股或發行紅股
或本公司股本出現其他類似變動時調整。
3. 所披露本公司股份於購股權授出當日之價
格，為緊接購股權授出當日前之交易日在
聯交所之收市價。所披露本公司股份緊接
購股權行使當日前之價格，為在披露範圍
內有關行使所有購股權在緊接購股權行使
當日前在聯交所之加權平均收市價。
4. 柴永森先生於二零零七年二月十五日起辭
任本公司董事。
5. 林建球先生及馮藹榮先生於二零零七年六
月二十一日起辭任本公司獨立非執行董事。
於去年授出購股權之公平值為409,000 港
元，本集團已於截至二零零六年十二月
三十一日止年度就其確認購股權開支。
33. 儲備
(a) 本集團
本年度及過往年度本集團之儲備數額
及其變動詳情，載於財務報表第58 頁
之綜合權益變動表。
(i) 根據相關中國法例及法規，本集
團若干於中國註冊之附屬公司須
將其部分溢利轉撥至儲備基金。
該等基金不可以現金股息之形式
分派。在釐定向該等基金之分配
時，會根據適用之中國財務規則
及法規釐定該等附屬公司之純
利。
