獨立非執行董事
吳亦農先生，45歲，自二零零五年一月起出任本
公司獨立非執行董事，亦為本公司審核委員會及
薪酬委員會成員。吳先生於一九九四年畢業於美
國波特蘭州立大學，持有工商管理碩士學位。彼
現職招商證券（香港）有限公司之執行董事及投資
銀行部主管。彼具有十多年投資銀行業經驗。
俞漢度先生，60 歲，於二零零七年六月二十一
日獲委任為本公司獨立非執行董事。俞先生為英
格蘭及威爾斯特許會計師公會之資深會員及香港
會計師公會之會員。俞先生曾擔任一間國際會計
師事務所之合夥人，並於企業融資方面擁有豐富
經驗。俞先生為偉業融資有限公司之創辦人及董
事，該公司專門從事直接投資及企業財務顧問之
業務。俞先生亦為香港若干上市公司之董事會成
員。
劉曉峰博士，45歲，於二零零七年六月二十一日
獲委任為本公司獨立非執行董事。彼現任星展亞
洲融資有限公司之董事總經理。彼自一九九三年
起曾任職於多間國際金融機構，包括洛希爾父子
及摩根大通，並擁有多年企業融資經驗。劉博士
持有劍橋大學經濟系博士及碩士學位及中國四川
財經學院經濟學士學位。劉博士現時並出任於聯
交所上市公司中國（香港）石油有限公司及宏華集
團有限公司之獨立非執行董事。
Independent Non-executive Directors
Mr. WU Yinong, aged 45, has served as an Independent
Non-executive Director of the Company since January
2005 and is a member of both the audit committee and
the remuneration committee of the Company. Mr. Wu
graduated from Portland State University in the United
States of America with a Master’s degree in Business
Administration in 1994. He is currently Executive Director
of China Merchants Securities (Hong Kong) Co., Limited
and the Head of Investment Banking Department. He has
been in the investment banking industry for more than 10
years.
Mr. YU Hon To, David, aged 60, was appointed as an
independent non-executive director of the Company on 21
June 2007. Mr. Yu is a fellow of the Institute of Chartered
Accountants in England and Wales and an associate of the
Hong Kong Institute of Certified Public Accountants. He
was formerly a partner of an international accounting firm
with extensive experience in corporate finance. Mr. Yu is a
founder and a director of MCL Capital Limited (previously
known as Management Capital Limited), which specialises
in direct investment and financial advisory activities, and
also sits on the boards of several listed companies in
Hong Kong.
Dr. Liu Xiao Feng, aged 45, was appointed as an
independent non-executive director of the Company
on 21 June 2007. He is currently Managing Director of
DBS Asia Capital Limited. He has worked in various
international financial institutions since 1993, including N.
M. Rothschild & Sons and JP Morgan, and has many years
of experience in corporate finance. Dr. Liu has a Ph.D and
Master degrees from the Faculty of Economics, University
of Cambridge and a Bachelor of Economics from Sichuan
Institute of Finance and Economics, China. Dr. Liu is
currently also an independent non-executive director of
CNPC (Hong Kong) Limited and Honghua Group Limited,
both of which are publicly listed companies on the Stock
Exchange.
