FORM OF CO-INVESTOR JOINDER AGREEMENT
The undersigned, hereby agrees to be bound as a "Stockholder" by all of the terms and conditions of that certain Amended and Restated Stockholders
Agreement, dated as of February 12, 2008, as the same may be amended from time to time in accordance with the provisions thereof (the "Stockholders
Agreement"), by and among GNC Acquisition Holdings Inc., a Delaware corporation (the "Company"), and certain other stockholders of the Company named
