(1) All grants were made under the Sirius XM Radio Inc. 2009 Long-Term Stock Incentive Plan. The stock
option awards granted to Ms. Altman and Mr. Frear vest in equal annual installments over four years from
the date of grant and have a term of ten years.
(2) The exercise price of the options granted to Ms. Altman on August 23, 2011 is equal to the closing price of
our common stock on the date of grant. The exercise price of the options granted to Mr. Frear on July 21,
2011 is equal to the last sale price of our common stock prior to the execution on July 21, 2011 of the
employment agreement with Mr. Frear.
(3) The aggregate grant date fair value of stock option awards was computed in accordance with FASB ASC
Topic 718 (excluding estimated forfeitures). The assumptions used in the valuation are discussed in Note 15
to our audited consolidated financial statements in our Annual Report on Form 10-K for the year ended
December 31, 2011.
