MANAGEMENT’S REPORT ON INTERNAL CONTROL OVER FINANCIAL REPORTING

Citizens Communications Company:
The management of Citizens Communications Company and subsidiaries is responsible for establishing and
maintaining adequate internal control over financial reporting, as such term is defined in Exchange Act Rules 13a-
15(f) and 15d-15(f).
Under the supervision and with the participation of our management, we conducted an evaluation of the
effectiveness of our internal control over financial reporting based on the framework in Internal Control—Integrated
Framework issued by the Committee of Sponsoring Organizations of the Treadway Commission. Based on our
evaluation our management concluded that our internal control over financial reporting was effective as of December
31, 2005 and for the period then ended.
Our management’s assessment of the effectiveness of our internal control over financial reporting as of
December 31, 2005 has been audited by KPMG LLP, an independent registered public accounting firm, as stated in
their report which is included herein.
