Unless otherwise specified herein, all notices, requests, demands or other communications given to any of the
Grantors, the Collateral Trustee and any Secured Debt Representative shall be given in writing (including, but not limited to,
facsimile transmission followed by telephonic confirmation or similar writing) and shall be effective (i) if given by facsimile
transmission, when such facsimile is transmitted to the facsimile number specified in this Section 7.7 and the appropriate
facsimile confirmation is received, (ii) if given by certified registered mail, return receipt requested, with first class postage
prepaid, addressed as aforesaid, upon receipt or refusal to accept delivery, (iii) if given by a nationally recognized overnight
carrier, 24 hours after such communication is deposited with such carrier with postage prepaid for next day delivery, or (iv)
if given by any other means, when delivered at the address specified in this Section 7.7; provided that any notice, request or
demand to the Collateral Trustee shall not be effective until received by the Collateral Trustee in writing or by facsimile
transmission at the office designated by it pursuant to this Section 7.7.
SECTION 7.8 Notice Following Discharge of Priority Lien Obligations . Promptly following the Discharge of
Priority Lien Obligations with respect to one or more Series of Priority Lien Debt, each Priority Lien Representative with
respect to each applicable Series of Priority Lien Debt that is so discharged will provide written notice of such discharge to
the Collateral Trustee and to each other Secured Debt Representative.
SECTION 7.9 Entire Agreement . This Agreement states the complete agreement of the parties relating to the
undertaking of the Collateral Trustee set forth herein and supersedes all oral negotiations and prior writings in respect of
such undertaking.
SECTION 7.10 Compensation; Expenses . The Grantors jointly and severally agree to pay, promptly upon
