ceeding). If any amount shall be paid to such Guarantor for the account of the Borrower relating to the Obligations, such amount shall
be held in trust for the benefit of the Administrative Agent and the Lenders and the other Secured Parties and shall forthwith be paid to
the Administrative Agent and the Lenders and the other Secured Parties to be credited and applied to the Obligations, whether matured
or unmatured.
SECTION 9.05. Discharge of Guaranty . If all of the Equity Interests of any Guarantor hereunder shall be sold or
otherwise Disposed of (including by merger or consolidation) to a Person that is not the Borrower or a Subsidiary thereof in accordance
with the terms and conditions hereof and the other Loan Documents, the guarantee of such Guarantor provided herein shall
automatically be discharged and released without any further action by any Person effective as of the time of such sale or Disposition.
The Administrative Agent shall use commercially reasonable efforts to execute and deliver, at the Borrower's expense, such documents
as the Borrower or any such Guarantor may reasonably request to evidence the release of the guarantee of such Guarantor provided
herein.
SECTION 10.
MISCELLANEOUS
SECTION 10.01. Notices .
(a) Except in the case of notices and other communications expressly permitted to be given by telephone (and
subject to paragraph (b) below), all notices and other communications provided for herein or under any other Loan Document shall be
in writing (including by facsimile or electronic mail (other than to the Borrower, unless agreed) pursuant to procedures approved by the
Administrative Agent), and shall be delivered by hand or overnight courier service, mailed by certified or registered mail or sent by
telecopy, as follows:
