As of January 31, 2013, there were approximately 3,560 holders of record of our common stock.
Dividends
We have not paid dividends in the last two fiscal years in order to fund our operations and meet our cash and liquidity needs. Our ability to pay
dividends or repurchase common stock is subject to compliance with covenants in several of our credit facilities. In addition, any future
determination to pay cash dividends will be at the discretion of the Board of Directors, subject to applicable limitations under Delaware law, and will
be dependent upon our results of operations, financial condition, cash requirements, future prospects and other factors deemed relevant by the Board
of Directors.
