directorships held in the Company, details of all options or any other entitlement to shares awarded, canceled, exercised, vested, unvested or
outstanding in the Participant’s favor, for the exclusive purpose of implementing, administering and managing the Plan (“Data”).
The Participant understands that Data will be transferred to a brokerage firm or share plan service provider designated by
the Company which is assisting the Company with the implementation, administration and management of the Plan. The Participant
understands that the recipients of Data may be located in the United States or elsewhere, and that the recipients’ country (e.g., the United
States) may have different data privacy laws and protections than the Participant
’s country. The Participant understands that he or she may
request a list with the names and addresses of any potential recipients of Data by contacting the Participant’s local human resources
representative. The Participant authorizes the Company, any Company-designated brokerage firm or share plan service provider and any
other possible recipients which may assist the Company (presently or in the future) with implementing, administering and managing the Plan
to receive, possess, use, retain, process and transfer Data, in electronic or other form, for the purpose of implementing, administering and
managing his or her participation in the Plan. The Participant understands that Data will be held only as long as is necessary to implement,
administer and manage the Participant’s participation in the Plan. The Participant understands that he or she may, at any time, view Data,
request additional information about the storage and processing of Data, require any necessary amendments to Data or refuse or withdraw
the consents herein, in any case without cost, by contacting in writing his or her local human resources representative. The Participant
understands, however, that refusing or withdrawing his or her consent may affect the Participant’s ability to participate in the Plan. For
more information on the consequences of the Participant’s refusal to consent or withdrawal of consent, the Participant understands that he
or she may contact his or her local human resources representative.
12.
Notices . Any notices provided for in this Agreement or the Plan shall be given in writing and shall be deemed
effectively given upon receipt or, in the case of notices delivered by the Company to the Participant, five (5) days after deposit in the United
States mail, postage prepaid, addressed to the Participant at the last address he or she provided to the Company. Any such notices from the
Company to the Participant may also be delivered through the Company’s electronic mail system (during the Participant’s Continuous Service)
or at the last email address the Participant provided to the Company (after termination of the Participant’s Continuous Service).
13.
Choice of Law and Venue
. The interpretation, performance and enforcement of this Agreement shall be governed by the
laws of the State of California, without regard to such state’s conflict of laws rules, as provided in the Plan. For purposes of litigating any
dispute that arises directly or indirectly from the relationship of the parties evidenced by this grant or the Agreement, the parties hereby submit
and consent to the exclusive jurisdiction of the State of California and agree that such litigation shall be conducted only in the courts of Santa
Clara County, California, or the federal courts for the United States for the Northern District of California, and no other courts, where this grant
is made and/or to be performed.
14.
Option Subject to Plan . By entering into this Agreement the Participant agrees and acknowledges that the Participant
has received a copy of the Plan. The Option is
