ITEM 9A. CONTROLS AND PROCEDURES
(a) Evaluation of disclosure controls and procedures.
Our management evaluated, with the participation of our Chief Executive Officer and our Chief Financial Officer, the effectiveness of our disclosure
controls and procedures, as such term is defined in Rules 13a-15(e) or 15d-15(e) promulgated under the Securities Exchange Act of 1934, as amended, as of
the end of the period covered by this Annual Report on Form 10-K (the "Evaluation Date"). Based on this evaluation, our Chief Executive Officer and Chief
Financial Officer concluded as of the Evaluation Date that our disclosure controls and procedures were effective to provide reasonable assurance that the
information required to be disclosed by us in periodic SEC reports is recorded, processed, summarized and reported within the time periods specified in SEC
rules and forms. It should be noted that the design of any system of controls is based in part upon certain assumptions about the likelihood of future events,
and can therefore only provide reasonable, not absolute assurance that the design will succeed in achieving its stated goals.
Since we are not yet an accelerated filer, we are not currently required to comply with Section 404 (Management Assessment of Internal Controls) of
the Sarbanes-Oxley Act of 2002. We are in the process of implementing what we believe will be sufficient internal control structures and procedures for our
financial reporting such that our management can provide the required certifications as to these structures and procedures in our Annual Report on Form 10-K
for our fiscal year ending January 31, 2006.
(b) Changes in internal control over financial reporting.
There was no change in our internal control over financial reporting that occurred during the period covered by this Annual Report on Form 10-K that
has materially affected, or is reasonably likely to materially affect, our internal control over financial reporting.
