Aggregate fees for professional services rendered for the Company by PricewaterhouseCoopers LLP ("PricewaterhouseCoopers") for the
years ended December 31, 2008 and 2007, were:

Audit Fees
The Audit Fees for the years December 31, 2008 and 2007, respectively, were for professional services rendered by
PricewaterhouseCoopers for the audit of our consolidated annual financial statements, review of our quarterly consolidated financial
statements, issuance of consents, assistance with registration statements and offering memorandums and statutory audits. The Audit fee for
the year ended December 31, 2007 also includes the audit of our financial statements for the period from January 1 through March 15, 2007.
Audit-Related Fees
Audit-Related Fees for the year ended December 31, 2008 include the assessment of the Company's internal control over financial reporting
by PricewaterhouseCoopers.
PricewaterhouseCoopers did not bill us any fees during the year ended December 31, 2007, for audit related services.
Tax Fees
The Tax Fees for the years ended December 31, 2008 and 2007, were for services rendered by PricewaterhouseCoopers relating to tax
compliance.
In accordance with policies adopted by our audit committee, all audit and non-audit related services to be performed by our independent
public accountants must be approved in advance by the audit committee or by a designated member of the audit committee. All services
rendered by PricewaterhouseCoopers were approved by our audit committee.
