MATTERS
The following table sets forth, as of March 1, 2009 (the "Ownership Date"), the number of shares of our Parent's common stock beneficially
owned by (1) each person or group known by us to own beneficially more than 5% of the outstanding shares of our Parent's common stock,
(2) each director, (3) each of the named executive officers, and (4) all directors and executive officers as a group.
Percentage ownership is based on a total of 87,663,590 shares of our Parent's Class A common stock and Class B common stock and
29,973,364 shares of our Parent's Series A preferred stock outstanding as of the Ownership Date, subject to the assumptions described below.
Unless otherwise indicated in the footnotes to the table, and subject to community property laws where applicable, the following persons
have sole voting and investment control with respect to the shares beneficially owned by them. In accordance with SEC rules, if a person has a
right to acquire beneficial ownership of any shares of our Parent's common stock, on or within 60 days of the Ownership Date, upon exercise of
outstanding options or otherwise, the shares are deemed beneficially owned by that person and are deemed to be outstanding solely for the
purpose of determining the percentage of shares that person beneficially owns. These shares are not included in the computations of
percentage ownership for any other person.
